Terms of service
Summary
Noute is a Mac app for working with local Markdown files, plus noute.com for downloads and information. By using the software or the site, you agree to these terms.
- You keep your notes on your device; you are responsible for your files and backups.
- We grant you a personal license to use the app. Do not misuse it or try to break it.
- The software is provided as-is; liability limits in these terms apply.
- We may update these terms; continued use after changes means you accept the new version.
Agreement
These terms are between you and Noute Pty Ltd (“Noute,” “we,” “us”). By downloading, installing, using the Noute application, or using noute.com, you agree to these terms. If you do not agree, do not use the software or the site.
The software and site
Noute is a desktop application for macOS for reading and editing Markdown notes and related content stored in folders you choose on your computer. noute.com provides downloads, documentation-style pages, and other information about the product.
Local use does not require an account. Features, documentation, and pages on noute.com may change over time. Descriptions of future functionality are not guarantees.
Noute, the Noute logo, and related branding are owned by Noute Pty Ltd. This agreement does not give you rights to our trademarks except to refer to the product in ordinary use.
License and acceptable use
Subject to these terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to install and run the app on Mac computers you own or control.
You may not copy, sell, rent, sublicense, or publicly distribute the app except as allowed by law. You may not reverse engineer, decompile, or disassemble the app, except where applicable law forbids that restriction.
You may not use the app or noute.com to violate law, harm others’ systems, distribute malware, probe or attack our infrastructure without permission, or overload the service.
Your content
You retain ownership of your notes, files, and other content you create or store with Noute. You are responsible for that content and for keeping backups.
We do not claim ownership of your local files. You are responsible for ensuring your use complies with applicable laws and any obligations you have to others.
Third-party services
Optional features (such as the AI agent) rely on third-party services you configure. Those services have their own terms and privacy policies. We are not responsible for third-party services or their availability.
noute.com may link to other sites; we do not control them and are not responsible for their content or practices.
Disclaimers
The software and noute.com are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the software or site will be uninterrupted, error-free, or free of harmful components. You use them at your own risk.
Limitation of liability
To the fullest extent permitted by law, Noute Pty Ltd and its directors, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising from your use of the software or noute.com.
To the fullest extent permitted by law, our total liability for any claim arising out of these terms or your use of the software or noute.com shall not exceed the fees you paid us for the software or related services in the twelve months before the claim. If you paid nothing, that amount is zero unless a mandatory law in your jurisdiction requires a different limit.
Some jurisdictions do not allow certain limitations; in those jurisdictions, our liability is limited to the maximum permitted by law.
Termination and changes
You may stop using the software and noute.com at any time. Uninstalling the app removes the application from your Mac; your note files remain where you stored them unless you delete them yourself.
We may suspend or discontinue part or all of the software or noute.com, or we may stop providing updates, where reasonable.
We may update these terms by posting a new version on noute.com. If a change is material, we will take reasonable steps to let you know (for example by updating the “last updated” date or a notice on the site). Your continued use after the effective date constitutes acceptance. If you do not agree, stop using the software and the site.
General
If any part of these terms is held invalid, the rest remains in effect. Failure to enforce a provision is not a waiver.
These terms are governed by the laws of Australia, without regard to conflict-of-law rules. Nothing in these terms limits consumer rights that cannot be waived under the laws where you live.
